Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of LearnExpand (the “Service”), provided by the LearnExpand team. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use LearnExpand on behalf of a school, training provider, company, or other organization, you confirm that you have authority to accept these Terms for that organization.

01. Eligibility and accounts

You must be at least 13 years old to create an account. If you are using LearnExpand on behalf of an organization (such as a school, training program, or business), you represent that you have authority to bind that organization to these Terms.

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

02. Permitted use

You agree to use the Service only for lawful teaching and learning activities. You agree not to:

  • Upload content that infringes third-party rights, is illegal, or violates someone's privacy.
  • Attempt to access accounts, spaces, or data that do not belong to you.
  • Reverse engineer, scrape, or interfere with the Service or its security controls.
  • Use the Service to send spam, harass others, or distribute malware.
  • Use AI features to generate content that violates these Terms or applicable law.
  • Use AI output as a substitute for qualified teacher judgment, legal advice, medical advice, emergency support, or other professional advice.
  • Make fully automated decisions that materially affect learners without appropriate human review.

03. Your content

You retain ownership of the lessons, assignments, quizzes, submissions, and other content you upload or create on the Service (“Your Content”).

You grant LearnExpand a worldwide, non-exclusive, royalty-free license to host, display, transmit, and process Your Content solely as necessary to operate, secure, and improve the Service for you and your invited members. We do not sell Your Content, and we do not use it to train third-party AI models.

You are responsible for the legality of Your Content and for obtaining any consents required from students, parents, or other contributors before uploading their information.

04. AI features

The Service includes AI-assisted drafting tools that generate suggestions for lessons, assignments, quizzes, and feedback. AI output is provided as a starting point. The teacher or space admin remains responsible for reviewing, editing, and approving any AI-generated material before it reaches learners.

You remain responsible for the prompts, source documents, and instructions you provide to AI features, and for checking AI output for accuracy, suitability, bias, age-appropriateness, originality, and compliance with your own policies. AI features do not publish content, grade learners, or make final learner-support decisions for you.

Do not include sensitive personal information in AI prompts or uploaded source documents unless you are authorized to do so and it is necessary for the teaching purpose.

AI features may rely on third-party model providers. We send only the prompts and minimum context required to fulfill your request. We do not authorize providers to retain Your Content for model training where contracts allow that opt-out.

05. Subscriptions and billing

Some features require a paid subscription or AI credit top-up. Billing is processed by our payment processor. By subscribing, you authorize recurring charges until you cancel.

Subscription fees and AI credit top-ups are non-refundable except as described in our Refund Policy or required by applicable law. AI credits are consumed when a generation request completes successfully; failed generation requests are handled by the in-product credit refund flow.

You can cancel a subscription from your billing settings. Cancellation takes effect at the end of the current billing period, and your paid features remain active until then. Refunds are handled under our Refund Policy and any rights you have under applicable consumer-protection law.

If payment fails, we may retry the charge, suspend paid features, cancel the subscription, or move the account to a lower plan. Existing content remains associated with the account, but over-limit access may pause until usage fits the active plan or you upgrade again.

Prices and plan limits may change. We will provide reasonable advance notice of pricing changes that affect your renewal.

06. Suspension and termination

We may suspend or terminate accounts that violate these Terms, threaten the security or stability of the Service, or fail to pay applicable fees. Where reasonable, we will give you notice and an opportunity to cure the issue first.

You may stop using the Service at any time and request deletion of your data through the Service or by contacting us. Some records may be retained where required by law or for legitimate business needs (for example, financial records).

07. Consumer rights

Nothing in these Terms excludes, restricts, or modifies any rights you have under laws that cannot be excluded by contract, including applicable consumer-protection, privacy, and fair-trading laws. If a mandatory law gives you a stronger right or remedy than these Terms, that law applies.

08. Disclaimers

The Service is provided “as is” and “as available”. We do not guarantee that the Service will be uninterrupted, error-free, or secure against every threat. AI output may be inaccurate or incomplete and should be reviewed by a qualified educator before being used with learners.

To the extent permitted by law, LearnExpand disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

09. Limitation of liability

To the maximum extent permitted by law, LearnExpand and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Service.

Our total liability for any claim relating to the Service is limited to the amount you paid LearnExpand in the 12 months immediately before the claim arose, or USD 100, whichever is greater.

10. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and may notify you in-product or by email. Continued use of the Service after changes take effect means you accept the updated Terms.

11. Governing law

These Terms are governed by the laws of New Zealand. The courts of New Zealand have non-exclusive jurisdiction over disputes relating to these Terms, unless applicable consumer-protection law gives you a stronger right to bring a claim in another place.
